{"id":840,"date":"2021-01-20T17:34:18","date_gmt":"2021-01-20T16:34:18","guid":{"rendered":"https:\/\/pegasoadv.cloud\/betaoci\/?page_id=840"},"modified":"2021-04-06T10:14:25","modified_gmt":"2021-04-06T08:14:25","slug":"open-a-representative-office","status":"publish","type":"page","link":"https:\/\/www.opencompanyitaly.com\/en\/establish-a-company-in-italy\/open-a-representative-office\/","title":{"rendered":"Open a representative office"},"content":{"rendered":"<p><em><strong>Representative offices<\/strong><\/em>\u00a0-which\u00a0<em><strong>are not legal entities of a foreign company in Italy<\/strong><\/em>&#8211; are characterized by two factors:<\/p>\n<p>&#8211;\u00a0\u00a0<em><strong>a local presence to promote the company<\/strong><\/em>\u00a0and its products\/services and to perform other non-business operations;<\/p>\n<p>&#8211;\u00a0 the local unit\u00a0<em><strong>does not require a permanent representation<\/strong><\/em>\u00a0(it does not represent the foreign company\u00a0 vis-a-vis third parties).<\/p>\n<p><em><strong>Local offices must be registered with the Economic and Administrative Index<\/strong>\u00a0(REA, Repertorio Economico Amministrativo)<\/em>\u00a0at the Chamber of Commerce, attaching the following documents:<\/p>\n<p>&#8211; if the company is incorporated in\u00a0<em><strong>an EU country<\/strong><\/em>: a certificate indicating the company details and the legal representatives of the company issued by the foreign equivalent of the Register of Companies in Italy, that must be translated into Italian by a sworn translator.<\/p>\n<p>&#8211; if the company is incorporated in\u00a0<em><strong>a non-EU country<\/strong><\/em>: a statement of the existence of the company issued by the Italian Embassy in the country where the company has its registered office.<\/p>\n<p><em><strong>Tax issues<\/strong><\/em><\/p>\n<p>If the representative office is used only for the following purposes:<\/p>\n<p>&#8211; storage, display or delivery of goods belonging to the foreign company;<\/p>\n<p>&#8211; purchasing goods or obtaining information for the foreign company; or<\/p>\n<p>&#8211; conducting preliminary activities assisting the business activities of the foreign company;<\/p>\n<p>it would\u00a0<u>not<\/u>\u00a0be considered a permanent establishment from a tax perspective.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Representative offices\u00a0-which\u00a0are not legal entities of a foreign company in Italy&#8211; are characterized by two factors: &#8211;\u00a0\u00a0a local presence to promote the company\u00a0and its products\/services and to perform other non-business operations; &#8211;\u00a0 the local unit\u00a0does not require a permanent representation\u00a0(it does not represent the foreign company\u00a0 vis-a-vis third parties).
